1. INTRODUCTION

These Terms & Conditions ("Terms") govern your access to and use of the Billoxy website, mobile application, and related services (collectively, the "Platform"). By registering, accessing, or using Billoxy, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. ELIGIBILITY

By using Billoxy, you represent that:

  • You are at least 18 years old.
  • You are legally competent to enter into a binding contract.
  • You are acting on behalf of a valid business entity, sole proprietorship, partnership, LLP, or company.
  • All information provided (GSTIN, PAN, business name, email, mobile, bank details, etc.) is accurate and lawful.

3. SERVICES PROVIDED

Billoxy provides cloud-based SaaS tools including but not limited to:

  • GST-compliant invoicing and billing
  • Inventory management
  • Purchase and sales tracking
  • Business reports & dashboards
  • AI-powered summaries and business insights
  • Data analytics and automation tools
  • Third-party integrations (payment gateways, APIs, accounting tools)
  • Future financial/lending enablement features (where applicable)

Billoxy is a software platform and does not provide legal, tax, accounting, or financial advisory services.

4. ACCOUNT REGISTRATION & SECURITY

  • Users must create an account to access services.
  • You are responsible for maintaining confidentiality of login credentials.
  • You are responsible for all activities under your account.
  • You must immediately notify us of unauthorized access.
  • We reserve the right to suspend accounts for suspicious, fraudulent, or unlawful activity.

5. USER RESPONSIBILITIES

You agree that you will:

  • Use the Platform only for lawful business purposes.
  • Ensure correctness of tax rates, HSN codes, GST details, and financial entries.
  • Maintain compliance with applicable Indian laws, including GST, Income Tax, and IT laws.
  • Not attempt to reverse engineer, hack, copy, or disrupt the Platform.
  • Not upload malicious code or harmful data.
  • Not misuse AI-generated insights as professional advice without independent verification.

You are solely responsible for filings, tax returns, statutory compliance, and regulatory submissions.

6. AI & AUTOMATED INSIGHTS DISCLAIMER

Billoxy uses artificial intelligence and automated systems to generate:

  • Business summaries
  • Recommendations
  • Data insights
  • Forecasts

These outputs are generated algorithmically and:

  • May contain inaccuracies
  • Should not be treated as professional advice
  • Require independent verification

We are not liable for decisions made based on AI-generated outputs.

7. DATA OWNERSHIP & USAGE

  • You retain ownership of your business data.
  • By using Billoxy, you grant us a limited license to process, store, analyze, and use your data to provide services.
  • We may use anonymized and aggregated data for analytics, product improvement, and research.
  • We do not sell identifiable user data to third parties.

8. CLOUD STORAGE & DATA SECURITY

  • Data is stored on secure cloud infrastructure.
  • We implement reasonable technical and organizational security measures.
  • However, no system is 100% secure.
  • We are not liable for data breaches caused by force majeure, cyber-attacks beyond reasonable control, or user negligence.

Users are encouraged to maintain their own backups of critical records.

9. THIRD-PARTY SERVICES

Billoxy may integrate with third-party services including:

  • Payment gateways
  • SMS/email providers
  • Cloud infrastructure providers
  • Financial institutions
  • Government APIs

We are not responsible for:

  • Third-party downtime
  • API failures
  • Changes in government systems
  • Policies of external providers

Use of third-party services may be subject to their own terms.

10. SUBSCRIPTION, BILLING & PAYMENTS

  • Certain features require paid subscription plans.
  • Fees are charged monthly or annually as selected.
  • All payments are non-refundable unless otherwise specified.
  • Applicable GST and taxes will be charged.
  • Failure to pay may result in suspension or restricted access.

We reserve the right to revise pricing with prior notice.

11. INTELLECTUAL PROPERTY

All rights, title, and interest in:

  • Software
  • Source code
  • UI/UX
  • Brand name "Billoxy"
  • Logos and content

are owned by the Company. Users are granted a limited, non-exclusive, non-transferable license to use the Platform. You may not copy, distribute, resell, sublicense, or commercially exploit the software.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • The Platform is provided on an "as-is" and "as-available" basis.
  • We do not guarantee uninterrupted or error-free service.
  • We are not liable for: tax penalties; compliance errors; business losses; loss of profits; government actions.

Total liability shall not exceed the subscription fees paid in the preceding 12 months.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Billoxy and its directors, employees, and affiliates against: legal claims; penalties; government notices; damages arising from misuse of the Platform; incorrect filings or unlawful activity by the user.

14. SUSPENSION & TERMINATION

We may suspend or terminate accounts if:

  • Terms are violated
  • Fraud or misuse is detected
  • Required by law
  • Subscription payments are overdue

Upon termination: access may be restricted; data retention policies will apply.

15. DATA RETENTION

  • We may retain user data for a limited period after termination for legal and compliance purposes.
  • After such period, data may be permanently deleted.

Users are responsible for exporting their data before termination.

16. FORCE MAJEURE

We shall not be liable for delays or failure due to events beyond reasonable control including: natural disasters; government restrictions; cyber warfare; infrastructure outages.

17. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra.

18. MODIFICATIONS

We may update these Terms periodically. Continued use of the Platform after changes constitutes acceptance.
